Second Mountain Multi-Asset Crypto Fund (“HODL” or the “Fund”) is designed to provide investors with exposure to the cryptocurrency market while allowing them to retain self-custody of their assets. The Fund offers a diversified portfolio of digital assets, primarily focusing on the top 100 cryptocurrencies by market capitalization. However, investing in cryptocurrency carries significant risks, and potential investors should carefully review the following disclosures before making an investment decision.

Private Placement and Investor Qualifications

The Fund is available only to individuals and institutions meeting the minimum investment requirements:

Individuals: $10,000 minimum investment Institutions: $30,000 minimum investment

Investments in the Fund are speculative, illiquid, and entail a high level of risk, including the risk of total loss. The Fund is structured as an open-ended investment vehicle, allowing investors to enter or exit without penalty. However, past performance is not indicative of future results, and the Fund does not guarantee profits or protection against market downturns.

Self-Custody and Investor Responsibility

Investors in the Fund maintain full control over their assets at all times. Assets are held in personal accounts on trusted exchanges such as Binance or other selected platforms. Second Mountain acts solely as a facilitator, providing research, portfolio management strategies, and expert guidance while ensuring that investors retain direct access to their holdings.

Market Risks and Volatility

Cryptocurrency markets are highly volatile and subject to unpredictable price fluctuations. Investors should be aware of the following key risks:

Extreme Price Swings: Digital assets have historically experienced rapid price changes that can result in significant gains or losses. Regulatory Uncertainty: Governments and regulatory bodies worldwide continue to assess and implement policies that could impact the cryptocurrency market. Liquidity Risks: Some digital assets may have limited liquidity, making it difficult to execute buy or sell orders at desired prices. Security Risks: While investors retain self-custody of their assets, they must employ best security practices, such as Two-Factor Authentication (2FA) and secure storage methods, to mitigate the risk of hacking, fraud, or theft.

No Guarantee of Secondary Market or Liquidity

The Fund does not currently facilitate a secondary market for investors to trade their holdings. While assets are self-custodied, liquidity and pricing depend on external cryptocurrency exchanges, which are subject to availability, operational reliability, and market conditions.

Performance Fees and Compensation

Investors in the Fund are subject to the following fees:

Sign-On Fee: $1,000 for individuals, $3,500 for institutions (non-refundable). Performance Fee: 10% of net profits, charged only when the portfolio exceeds its previous peak value (high-water mark principle). Exit Terms: Investors may exit the Fund at any time without penalty. If exiting while in profit, the applicable performance fee is deducted. No fees apply for exits at a loss.

Regulatory Compliance and Jurisdiction

The Fund operates under the jurisdiction of Nigeria, adhering to regulatory frameworks and compliance requirements. KYC (Know Your Customer) and AML (Anti-Money Laundering) procedures are conducted through Binance or other selected exchanges. Investors are responsible for understanding and complying with the tax and legal implications of their investment in their respective jurisdictions.

The Fund employs various risk management techniques, including:

Portfolio Diversification: Allocation to the top 100 cryptocurrencies, with limited exposure to smaller-cap assets showing strong growth potential. Stop-Loss Mechanisms: Investors are encouraged to set stop-loss levels to manage downside risk. Rebalancing: Monthly rebalancing based on market conditions, with adjustments during extreme volatility. Stress Testing: Regular portfolio simulations to assess resilience under adverse conditions. Hedging Strategies: Use of stablecoins and other defensive mechanisms in times of market uncertainty.
