Second Mountain Multi-Asset Crypto Fund (“HODL” or the “Fund”) is designed to provide investors with exposure to the cryptocurrency market while allowing them to retain self-custody of their assets. The Fund offers a diversified portfolio of digital assets, primarily focusing on the top 100 cryptocurrencies by market capitalization. However, investing in cryptocurrency carries significant risks, and potential investors should carefully review the following disclosures before making an investment decision.

Private Placement and Investor Qualifications

The Fund is available only to individuals and institutions meeting the minimum investment requirements:

Individuals: $10,000 minimum investment Institutions: $30,000 minimum investment

Investments in the Fund are speculative, illiquid, and entail a high level of risk, including the risk of total loss. The Fund is structured as an open-ended investment vehicle, allowing investors to enter or exit without penalty. Sign-On Fee: $1,000 for individuals, $3,500 for institutions (non-refundable). Performance Fee: 10% of net profits, charged only when the portfolio exceeds its previous peak value (high-water mark principle). Exit Terms: Investors may exit the Fund at any time without penalty. If exiting while in profit, the applicable performance fee is deducted. No fees apply for exits at a loss.
